1.Who we are

Yvy Consultancy LLC (the “Company”, “Yvy”, “we”, “us”) is a limited liability company registered in the State of Delaware, United States. Our registered address is 8 The Green, Suite B, Dover, DE 19901, USA. You can contact us at info@yvyhealth.com.

These Terms & Conditions (the “Terms”) govern (a) your use of this website (the “Site”) and (b) unless superseded by a signed written agreement, the provision of our consulting and research services (the “Services”). By using the Site or engaging our Services, you accept these Terms.

2.Nature of our services (and what we do not do)

The Company provides organizational consulting services focused on matters pertaining to mental well-being. In this context, we deliver data aggregated at the level of groups, which can provide insights about levels of mental well-being in particular groups or populations.

Important: what we do not do. The Company does not provide individual diagnoses; it does not provide psychotherapy or counselling services; and it does not provide services that could be deemed to constitute the practice of clinical psychology, psychiatry, or medicine.

3.Geographic availability and adaptation

Although we strive to serve clients in as many countries as possible, there may be regions we cannot cover because of legal or regulatory constraints. Please contact us to confirm availability for your jurisdiction.

Where an engagement involves data collection in jurisdictions with their own data protection regimes, we adapt the research project to the local requirements. Examples include the EU/EEA (GDPR), the United Kingdom (UK GDPR), Brazil (LGPD), and Canada (PIPEDA and provincial privacy laws).

These bespoke arrangements are agreed with the client before data collection begins and are formalized in the engagement agreement, as described in our Privacy & Confidentiality Policy.

4.Research participation and ethics

In accordance with internationally recognized ethical standards for research involving human subjects, including the Declaration of Helsinki, and consistent with HIPAA privacy principles:

5.Engagements, proposals, and contracts

Specific services are provided under individual engagements. Each engagement is described in a proposal or statement of work and formalized in a written agreement between the Company and the client. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement prevails for that engagement.

Proposals are valid for thirty (30) days from issuance unless otherwise stated. The scope, timeline, deliverables, and fees of each engagement are those set out in the applicable agreement.

6.Intellectual property

Upon receipt of full payment, the Client will own the final reports and other deliverables created specifically for the Client under the engagement. The Company will retain all rights, title, and interest in its methodologies, survey instruments, analytical frameworks, models, know-how, pre-existing materials, website contents (including any artwork used in the website) and any related intellectual property.

7.Confidentiality

Each party will keep the other party's information strictly confidential and use it only for purposes of the engagement. Our detailed commitments regarding client confidentiality and participant anonymity are set out in our Privacy & Confidentiality Policy, which forms part of these Terms.

8.No warranties

The Site and its contents are provided “as is” and “as available”. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Research findings are estimates based on data collected at a point in time using scientific methods; while we apply rigorous standards, we do not warrant that findings will guarantee any particular organizational outcome.

9.Limitation of liability

To the maximum extent permitted by law: (a) the Company's aggregate liability arising out of or related to an engagement shall not exceed the fees actually paid by the client for that engagement in the twelve (12) months preceding the event giving rise to the claim; and (b) neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

10.Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve any dispute through negotiation. Failing resolution within sixty (60) days, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless a signed engagement agreement provides otherwise.

11.Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the effective date; continued use of the Site after changes constitutes acceptance. Signed engagement agreements are not modified by Site updates.
